1. Overview

This website, suedeliving.com, is operated by Highland Commerce PTY LTD (ABN 97 695 098 116), trading as Suede Living (“Suede Living”, “we”, “us” or “our”). We offer this website, including all information, tools and services available from it, to you, the user, on condition that you accept all of the terms, conditions, policies and notices stated here.

By visiting our site or purchasing from us, you agree to be bound by these Terms of Service (“Terms”), including the additional policies referenced here, such as our Refund Policy, Shipping Policy and Privacy Policy. If you do not agree to these Terms, please do not use the website or place an order.

Our store is hosted on Shopify Inc., which provides the online e-commerce platform that allows us to sell our products to you.

2. Online store terms

By agreeing to these Terms, you confirm that you are at least the age of majority in your state of residence. You may not use our products for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction when using the website. Any breach of these Terms will result in immediate termination of your access to our services.

3. General conditions

We reserve the right to refuse service to anyone for any reason at any time. Your content (not including payment card information) may be transferred unencrypted and involve transmission over various networks. Payment card information is always encrypted during transfer and is processed by our PCI-compliant payment providers; we never store your full card details.

4. Accuracy of information

We work hard to make sure the information on this site is accurate and complete, but we are not responsible if information made available on this site is not accurate, complete or current. We reserve the right to modify the contents of this site at any time without notice.

5. Products and pricing

All prices are listed in US dollars (USD). Sales tax, where applicable, is calculated at checkout. Prices are subject to change without notice, but any change will not affect an order you have already placed and paid for.

We have made every effort to display product colors, finishes and images as accurately as possible. However, we cannot guarantee that your device’s display will show every color exactly as it appears in person. Many of our products are made with natural materials such as wood, stone, rattan, jute, linen and ceramic, so slight variations in grain, color, texture and size are natural and are not considered defects. Product dimensions are approximate.

We may limit the quantities of any product we sell and may discontinue any product at any time. Products may be fulfilled from third-party partners and warehouses on our behalf.

6. Product use and assembly

Some products require assembly. Please follow all included instructions and safety warnings. Wall-mounted items, mirrors, shelving and lighting should be installed securely using appropriate hardware for your wall type, and electrical items should be installed by a qualified person where required. We are not responsible for damage or injury caused by incorrect assembly, installation or use.

7. Orders and billing

Placing an order is an offer to buy. We reserve the right to refuse or cancel any order, including orders that appear to be placed by dealers, resellers or distributors, or orders affected by a pricing or product information error. If we cancel an order after you have been charged, we’ll refund the full amount to your original payment method and notify you using the email address provided at checkout.

You agree to provide current, complete and accurate purchase and account information for all purchases, and to promptly update your details so that we can complete your transactions and contact you as needed.

8. Shipping, returns and refunds

Shipping times and costs are set out in our Shipping Policy. Returns, exchanges, cancellations and refunds are governed by our Refund Policy. Both form part of these Terms.

9. Promotions and discounts

Discount codes and promotional offers are subject to any conditions stated with the offer, cannot be exchanged for cash and, unless stated otherwise, cannot be combined with other offers. We may withdraw or change a promotion at any time without affecting orders already placed.

10. Third-party tools and links

We may give you access to third-party tools and links that we neither monitor nor control. You acknowledge that we provide access to such tools and links “as is” without any warranties or endorsement, and that any use of them is entirely at your own risk and subject to the third party’s own terms.

11. User comments and submissions

If you send us comments, reviews, photos, suggestions or other materials, you agree that we may, at any time and without restriction, edit, copy, publish, distribute and otherwise use them in any medium. You agree that your submissions will not violate any third-party right, including copyright, trademark or privacy rights, and will not contain unlawful, abusive or obscene material.

Your submission of personal information through the store is governed by our Privacy Policy.

Except as expressly stated by us, and to the fullest extent permitted by law, the service and all products delivered to you are provided “as is” and “as available”, without any warranty of any kind, express or implied.

To the fullest extent permitted by law, in no case shall Suede Living, our directors, employees, affiliates, suppliers or service providers be liable for any indirect, incidental, punitive, special or consequential damages arising from your use of the service or any product purchased through it. Our total liability for any claim relating to a product shall not exceed the amount you paid for that product.

Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited under the consumer protection laws that apply to you.

You agree to indemnify and hold harmless Suede Living and our directors, employees, affiliates and suppliers from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed without affecting the validity of the remaining provisions.

18. Termination

These Terms are effective unless and until terminated by you or us. You may terminate them at any time by ceasing to use our site. Obligations and liabilities incurred before termination survive it.

19. Entire agreement

These Terms and any policies or operating rules posted by us on this site constitute the entire agreement between you and us and govern your use of the service. Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

20. Governing law

These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict-of-law principles. This does not deprive you of the protection of any mandatory consumer protection laws of your state of residence.
